Affiliate Agreement

This Affiliate Agreement (the "Agreement") governs your participation in the MoldMind Affiliate Program (the "Program"). The Program is for trainers, educators, and others who teach or reach mold-inspection professionals. As an approved affiliate, you receive a tracked link and a personal code and earn a one-time cash commission each time an inspector you refer subscribes to MoldMind. By applying to or participating in the Program, you agree to these terms.

This Program is a paid advertising arrangement between you and MoldMind. Your compensation under this Agreement is cash, paid to you directly as described below. Separately, customers who subscribe through your link receive a one-month account credit from MoldMind (see Section 1); that credit is a benefit MoldMind extends to the customer and is not part of, and does not reduce, your commission.

1. Commission and Payment Terms

You earn a one-time commission of 20% of the referred customer's first payment (USD) for each qualifying paid conversion (see Section 2). Your commission scales with the plan and term the customer buys — a higher-tier or annual subscription pays more than an entry-level monthly one. The commission is calculated on the full amount of that first payment and is one-time; it does not recur on the customer's later renewals. MoldMind may set a different commission rate for you by prior written agreement; the rate in effect when a conversion occurs governs that conversion (see Section 9).

Commissions are paid manually on the 1st of each month for every qualifying conversion that has passed its hold period (see Section 3), once your cleared balance reaches the $50 minimum payout threshold. This $50 is a minimum-payout floor, not the commission amount: a cleared balance below $50 simply rolls over to the following month and is not forfeited. The uniform payment rule is: paid on the 1st, once your cleared balance is $50 or more.

Payments are made by your choice of PayPal or Zelle, using the payout details you provide. You are responsible for keeping your payout details accurate and current. MoldMind is not liable for payments misdirected because of incorrect payout information you supplied.

Customer reward. As a separate benefit, a customer who subscribes through your link or code receives a one-month account credit from MoldMind, applied to their account after your conversion clears its hold period (see Section 3) — typically as a credit on their next invoice, not a discount on their first payment. This credit is between MoldMind and the customer; it does not come out of, or reduce, your commission, which is always calculated on the customer's full first payment.

2. Qualifying Sale

A qualifying paid conversion is an inspector who (a) signs up for MoldMind through your affiliate link or code and (b) pays their first invoice as a subscriber. Unpaid signups and accounts that never pay a first invoice do not qualify and earn no commission until they become paying subscribers. A given customer can generate at most one qualifying conversion.

3. Refund Hold and Clawback

Each qualifying conversion is subject to a 30-day hold before it becomes payable, covering the customer's refund window. If, during the hold period, the referred customer refunds, charges back, or disputes the payment, the associated commission is voided and is not owed. If a refund, chargeback, or dispute occurs after the hold period but before the commission has been paid out, MoldMind may withhold or void that commission before payment. If a refund, chargeback, or dispute occurs after a commission has been paid, MoldMind may reclaim (clawback) that amount by offsetting it against your future commissions or by requesting repayment.

4. Prohibited Conduct

To remain in the Program, you must not:

  • Self-refer. You may not use your own link or code to sign up yourself, your own organization, or accounts you control.
  • Bid on our brand or trademarks. You may not purchase paid search ads or keywords on "MoldMind" or confusingly similar terms, and you may not register domains or usernames that imply you are MoldMind.
  • Make misleading claims. You may not misrepresent MoldMind's features, pricing, or performance, spam, or use deceptive, false, or unsolicited promotion of any kind.

MoldMind may void commissions and remove you from the Program for any violation of this Section.

5. Independent-Contractor Status

You participate in the Program as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint-venture, franchise, or agency relationship between you and MoldMind. You have no authority to make or accept any offer or representation on MoldMind's behalf, and you may not describe yourself as an employee, partner, or agent of MoldMind.

6. Taxes

You are solely responsible for all taxes on the commissions you earn. Before your first payout, you must provide a completed Form W-9 (or the applicable equivalent). MoldMind will issue a Form 1099-NEC if your earnings reach $600 or more in a calendar year, as required by law. MoldMind does not withhold taxes from your commissions.

7. Required FTC Disclosure

The U.S. Federal Trade Commission requires you to clearly and conspicuously disclose that you earn a commission whenever you promote MoldMind — in videos, posts, emails, course materials, live presentations, and anywhere else you share your link or code. The disclosure must be easy to notice and understand, and placed where your audience will see it before acting on your recommendation.

You may use this ready-to-use one-liner:

I earn a commission if you sign up for MoldMind through my link — at no extra cost to you.

Failure to disclose as required is a violation of this Agreement and may result in voided commissions and removal from the Program.

8. Termination

Either you or MoldMind may end your participation in the Program at any time, for any reason, with or without notice. On termination, your link and code stop crediting new conversions. Commissions that have already cleared and are payable remain owed to you and will be paid on the normal schedule, subject to the refund and clawback rules in Section 3; conversions still in their hold period at termination are handled under the ordinary hold and clawback rules (Section 3). Sections 3, 6, 7, and 9 survive termination.

9. Changes to This Agreement

MoldMind may update this Agreement from time to time. Material changes take effect on the "Last updated" date shown at the top of this page. Your continued participation in the Program after a change takes effect means you accept the updated terms. Commission rates and Program terms in effect when a conversion occurs govern that conversion.
